Unidroit currently holds a public consultation on the draft of Principles of Digital Assets and Private Law until 20 February 2023. They are to apply only to a subset of digital assets that a person can exclusively (i) change the control of such digital assets to another, (ii) prevent others from obtaining substantially all of the benefit from the assets, and (iii) obtain substantially all the benefit from them.
As the Principles of private international law, they provide significant effect to party autonomy in the regard of the intangible nature of the digital assets without a physical location of transactions and of the need of certainty in determining the applicable law. They also address (i) the liabilities of the transferee, having control and fulfilling certain requirements and taking the digital asset free of property claims to it, (ii) those of the secured creditor, having control of a digital asset, priority over other secured creditors with a security right in the same digital asset who do not have control.
